Terms of Use
These Terms of Use apply to the website at https://maxextractors.io and to the Max Extractors tokens and smart contract, however you use them.
IMPORTANT: SECTION 24 CONTAINS AN AGREEMENT TO RESOLVE DISPUTES BY BINDING INDIVIDUAL ARBITRATION, A CLASS-ACTION WAIVER AND A JURY WAIVER. IT AFFECTS YOUR LEGAL RIGHTS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS UNDER SECTION 24.9.
Key points (a summary only; the numbered sections control):
- Keeping a Token alive costs 0.0000444 ETH per Day. Payments are final and non-refundable.
- A Token whose paid Days run out dies at the Boundary, 20:44:00 UTC by the chain's clock (4:44 PM in New York during daylight saving time, 3:44 PM during standard time). There is no grace period and no way back.
- There is no prize and no payout. A Token that becomes Immortal simply never has to be paid for again.
- The Contract is the game. The Site is one window onto it, and its information can be late or wrong.
- The Art, traits, metadata, Scavenge and the Site are run by the Studio off the chain and may change or stop.
- While you hold a Standing Token you may use the Art it currently wears, including commercially. That right ends when you send the Token or it dies, and for old Art when its Art changes. The Studio keeps ownership of all Art.
- Tokens are not an investment. You could lose everything you spend.
1. About these Terms
1.1 Who we are. Max Extractors is made and operated under the name Analong Studios, based in Florida, USA. "Analong Studios", "the Studio", "we", "us" and "our" mean the person or persons who operate Max Extractors under that name, whether as individuals or through a business entity, and anyone to whom these Terms are assigned under Section 26.4. Contact: analongstudios@gmail.com.
1.2 What these Terms cover. These Terms of Use (the "Terms") are a legal agreement between you and the Studio covering (a) the Site; (b) the Tokens and the Contract, whether you use them through the Site, a block explorer, a marketplace, a Wallet, your own code or any other means; and (c) the Off-Chain Features, including your use of the Art.
1.3 Related documents. The Risks page (https://maxextractors.io/risks) is part of these Terms: by accepting these Terms you confirm that you have read it and that you accept the risks it describes. The Privacy Policy (https://maxextractors.io/privacy) explains how the Studio handles information; it is a notice of the Studio's practices, not part of these Terms. If anything on the Risks page or elsewhere on the Site conflicts with these Terms, these Terms control.
2. Definitions
- "Site": the website at https://maxextractors.io, its API at api.maxextractors.io, and the images, metadata and other data served from them.
- "Contract": the smart contract at address 0x2428466B6b52f4a56f1ee7Eacc635c781B53f063 on Robinhood Chain, the Ethereum layer-2 network with chain id 4663, which is operated by third parties.
- "Token": one of the 44,444 ERC-721 tokens named "Max Extractors" (symbol MAXX) recorded by the Contract. The Site, the Risks page and other Studio materials call a Token an "extractor".
- "Holder": the address the Contract records as a Token's owner, and the person who controls it. To "hold" has a matching meaning.
- "Wallet": software or hardware you use to control an address and sign transactions and messages.
- "Rules": the rules the Contract enforces, described in Section 5.
- "Daily Fee": the payment the Contract requires to keep one Token alive for one Day.
- "Day": one period of exactly 86,400 seconds in the Contract's schedule. "Boundary": the moment one Day ends and the next begins.
- "Dead", "Burned" and "Standing": a Token is Dead as Section 5.7 explains, Burned once destroyed under Section 5.9, and Standing if it is neither.
- "Machine Stop" and "Immortal": as defined in Section 5.10.
- "Art": the images the Studio makes available for Tokens, in every look it renders (including "normal", "mild glitch" and "severe glitch"). A Token's traits are not Art; they are part of its metadata.
- "Off-Chain Features": everything about the Tokens that the Contract does not store or enforce (Section 7), including the Art, traits, names, metadata, display looks, Scavenge and all information shown on the Site.
- "Owner Key": the address the Contract recognizes as its owner.
- "Janitor": the automated program the Studio runs to burn Dead Tokens.
- "Scavenge": the Off-Chain Feature described in Section 8; "a Scavenge" means one trade of Art and traits made through it.
- "Art License" and "Owner Powers": as defined in Sections 15.2 and 11.1.
- "Services": the Site, the Off-Chain Features and anything else the Studio provides for Max Extractors.
- "Studio Parties": the Studio; the individuals who own or operate it; if the Studio is or becomes a company, that company's owners, members, managers, directors and officers; and the Studio's employees, contractors, agents, successors and assigns.
3. Accepting these Terms
3.1 How you accept. You accept these Terms when you first do any of these things: use the Site; connect a Wallet to the Site; sign a message or send a transaction through the Site; buy, pay for, transfer, list, sell or otherwise use a Token by any means; use the Art under Section 15; or click or tick anything saying you agree. If you do not agree, do not use the Services, the Tokens, the Contract or the Art.
3.2 Organizations. If you act for an organization, you confirm you may bind it, and "you" includes it.
3.3 Electronic acceptance. Electronic records and signatures, including Wallet signatures, have the same effect as signed paper. Connecting a Wallet does not create an account. The Studio never holds your keys, your Tokens or your funds.
4. Eligibility
4.1 Age. You must be at least 18, and at least the age of majority where you live if that is higher.
4.2 Sanctions. You must not be (a) located, organized or ordinarily resident in a country or region under comprehensive United States sanctions; (b) named on, or owned or controlled by anyone named on, a United States sanctions list (including the Specially Designated Nationals and Blocked Persons List of the U.S. Treasury's Office of Foreign Assets Control) or a comparable list of the United Nations, the European Union or the United Kingdom; or (c) acting for any such person. You must not use a VPN or other means to get around these limits.
4.3 Where prohibited. You must not use the Services, the Tokens or the Contract where that is illegal. You are responsible for knowing the laws that apply to you. The Studio does not promise that the Services or the Tokens are lawful or appropriate anywhere in particular, and may block anyone it believes does not meet this Section 4.
4.4 Your confirmation. By accepting these Terms under Section 3.1, you confirm that you meet this Section 4, and you must stop using the Services, the Tokens and the Art if you ever stop meeting it.
5. The Rules of the game
The Rules are enforced by the Contract's code, and nobody, including the Studio, can change them. This Section describes them as accurately as the Studio can. If this description and the code ever differ, the code is what actually happens, and you accept the Rules as the code applies them.
5.1 The Tokens. 44,444 Tokens were created. They were airdropped free to the holders of a snapshot. There was no sale, and no new Token can be created.
5.2 The Daily Fee. Keeping a Token alive costs 0.0000444 ETH (44,400,000,000,000 wei) per Token per Day, paid in ETH on Robinhood Chain. The amount is fixed in the Contract.
5.3 Whole Days, exact amounts. Days are bought in whole Days only, any number at once, for one Token or for many in one transaction. The amount sent must equal the number of Days times the Daily Fee exactly, to the wei, or the Contract refuses the transaction. If a payment for many Tokens includes one that is Dead, the whole transaction is refused. A refused transaction still costs gas.
5.4 No refunds. Every payment is final and non-refundable. The Contract has no refund function and the Studio will not refund any payment, including payments for the wrong Token, for a Token you later sell or send, or for Days never needed because the Machine Stop came first.
5.5 Anyone can pay for any Token. Until the Machine Stop, any address may pay the Daily Fee for any Standing Token, not only its Holder ("patronage"). Paying for a Token you do not hold gives you no rights in that Token or its Art.
5.6 The Boundary and the chain's clock. The game runs in Days of exactly 86,400 seconds, counted from the first Boundary, which the Studio fixed when it started the game. The Boundary falls at 20:44:00 UTC every day: 4:44 PM in New York during Eastern Daylight Time, and 3:44 PM in New York during Eastern Standard Time (for example, at every Boundary from 1 November 2026 through 13 March 2027). The Boundary is fixed in UTC and does not move for daylight saving time. What counts is the timestamp of blocks on Robinhood Chain, not the clock on the Site, your device or anywhere else. Countdowns and local times shown on the Site, in Wallets or anywhere else are conveniences only. Where the Site or the Studio refers to the Boundary as "4:44" or "4:44 PM ET", that is right only during Eastern Daylight Time; during Eastern Standard Time the Boundary is at 3:44 PM in New York. If any time shown anywhere differs from the Boundary in UTC, 20:44:00 UTC by the chain's clock governs.
5.7 Death at the Boundary, with no grace. Each Token is paid through a particular Day. At the Boundary that ends its last paid Day, a Token not paid for the next Day can no longer be transferred, and from the next second it is Dead. No transaction is needed, and there is no grace period. To keep a Token alive, a payment for it must be included in a block whose timestamp is at or before that Boundary; a payment sent earlier but included later is refused. The Contract refuses any payment for, and any transfer of, a Dead Token. A Dead Token can never be revived: no one, including the Studio, can revive it, add Days to it, refund it or undo its death. Where the Site, the metadata or a marketplace shows a Token as "paid through" a Day or a date, the Token dies at the Boundary that ends that Day, which falls on that date, not at the end of that calendar day.
5.8 Frozen transfers. Unless it is Immortal, a Token cannot be transferred, or individually approved for transfer, from the Boundary that ends its last paid Day (Section 5.7). Tokens paid for the current Day (including those the Site shows as "Dying") and Immortal Tokens transfer normally.
5.9 The burn. Anyone may call the Contract to burn (destroy) a Dead Token. The Studio runs the Janitor, which normally burns Dead Tokens within minutes of each Boundary, but the Studio is not obliged to run it and makes no promise about when, or whether, any Dead Token will be burned. A burn is final. It does not decide whether a Token is Dead; it removes a Token that already is. You agree that the Studio or anyone else may burn any Dead Token, including one recorded to you, and that no one owes you anything for doing so.
5.10 The endgame. The Contract counts the Tokens not yet burned, including Dead Tokens awaiting their burn. On the burn that brings that count down to 444, the machine stops (the "Machine Stop"). The Machine Stop happens only when a burn transaction is made, by the Janitor or anyone else; it does not happen by itself when enough Tokens die, and it is delayed for as long as Dead Tokens stay unburned. At the Machine Stop, every Token not Dead at that moment becomes "Immortal". Tokens already Dead but not yet burned stay Dead, so there may be fewer than 444 Immortal Tokens. From then on, the Contract refuses all payments. Until the Machine Stop happens on the Contract, every Token still needs paid Days, even if 444 or fewer Tokens are Standing.
5.11 Immortal Tokens. An Immortal Token never owes a Daily Fee again, never dies and transfers freely. Days paid beyond the Machine Stop are not refunded.
5.12 No prize. There is no prize, payout, pool, jackpot or reward of money or other property for surviving, for becoming Immortal or for anything else. The Contract pays nothing to players, the Studio will pay nothing to players, and Daily Fees are not pooled for players. The Contract gives an Immortal Token nothing except that it never owes a Daily Fee again. The Contract uses no randomness: whether a Token lives or dies depends only on whether it is paid for in time.
5.13 Paid Days stay with the Token. Paid Days belong to the Token, not to whoever paid, and go with it when it is transferred.
5.14 Starting Days. Before launch the Studio gave some Tokens free starting Days. That power is closed forever.
5.15 No fixes. The Contract has no upgrade mechanism, no pause and no administrator override beyond the Owner Powers in Section 11. A bug in it may be impossible to fix, and the Studio has no obligation to try.
6. The Contract is the game; the Site is one window
6.1 Source of truth. The Contract decides whether a Token is Standing, Dead, Burned or Immortal, who holds it and how many Days are paid. The Site is one way to view and use the Contract. You can use the Contract without the Site, for example through a block explorer, and the same Rules apply.
6.2 Site information can be late or wrong. The Site's countdowns, statuses, lists and receipts come from the Studio's indexer, which reads the chain and can fall behind, make mistakes or stop. Wallets and marketplaces can also show old or wrong information.
6.3 You decide and pay at your own risk. You are solely responsible for every decision you make and everything you sign. Check a Token's status and paid Days on the Contract before relying on them, and pay well before the Boundary. The Studio is not responsible for a Token dying, or any other loss, because the Site, a Wallet, a marketplace or the network was wrong, slow or unavailable, or because a transaction was delayed, failed, cost more than expected or landed after the Boundary. This includes Robinhood Chain stopping, slowing, reordering or reorganizing transactions, or the timestamps it assigns to blocks, at or near a Boundary. The Studio does not send reminders and has no duty to warn you that a Token's paid Days are running out. Countdowns, "Dying" statuses and glitch looks are not warnings you can rely on, and their absence does not mean a Token is safe.
6.4 Your transactions. Every transaction is created and signed by your own Wallet. The Studio cannot make, reverse, cancel or speed up a transaction. The Site never asks for your seed phrase or private key; anyone who does is not the Studio.
6.5 If the Site goes away. The Site may be unavailable or may close for good, and the Contract keeps enforcing the Rules without it. It is your responsibility to know how to pay for your Tokens without the Site. To pay without the Site, call the Contract's deposit function with the Token id and the number of Days (one Token), or its depositMany function with a list of Token ids and the number of Days for each (several Tokens, the same number of Days each), sending exactly the number of Days times 44,400,000,000,000 wei for each Token; the Contract's quoteDays function returns the amount for one Token. The Contract's deadlineOf function returns the last second at which a Token is not yet Dead.
7. What is off the chain, and may change
7.1 Not on the chain. The Contract records Tokens, Holders, paid Days, burns and the Machine Stop. It does not store the Art, traits, names or metadata, which the Studio hosts on its own servers. The Contract points to a metadata address that the Studio controls and can change (Section 11).
7.2 The Studio may change the Off-Chain Features. The Studio may, at any time and without notice, change, replace, rename, re-render or remove any Art, traits, trait names, Token names, descriptions, metadata, display looks, rarity scores, rankings, Scavenge or other part of the Site or Off-Chain Features, for one Token or all of them. For example, on 20 September 2026 (the "V2" change) the Studio replaced every Token's image with a new rendering and renamed the pattern trait values. It may do something like this again.
7.3 The "dead" image. Dead and Burned Tokens are generally shown, including in their metadata, with one shared "dead" image, whatever Art the Studio's records assign to them. The Site may still show their Art, for example so that it can be chosen in a Scavenge.
7.4 Hosting may end. The Studio does not promise to host the Art, metadata or Site for any length of time. If its servers stop, images and metadata may stop loading on the Site, in Wallets and on marketplaces, while the Contract keeps running.
7.5 Information only. Rarity, "closest calls", leaderboards, the ledger, share images, statuses and projections (including any projection of coming deaths or of the Day the Machine Stop may happen) are for information and entertainment. They may be wrong or change. A projection rests on assumptions that may not hold, such as no one else paying for any Token, and is not a promise or prediction that anything will happen on any date.
7.6 No rights in off-chain things. Holding a Token gives you the rights in these Terms, including the Art License (Section 15), and nothing more. You have no right to any particular Art, trait, name, look, ranking or feature, or to have any of them stay the same.
8. Scavenge
8.1 What it is. Scavenge is an optional Off-Chain Feature. It changes which Art and traits the Studio's servers serve for a Token. It changes nothing on the Contract: Token ids do not move, no Token is transferred, no ETH is sent, and it costs nothing.
8.2 The rules. While the Studio offers Scavenge:
(a) it is open for 4 hours after each Boundary, as measured by the Studio's servers, and may open a little late while the Studio confirms which Tokens died;
(b) the Holder of a Standing Token may sign a message (no gas) to take the Art and traits of one Token that died at that Boundary;
(c) the Standing Token takes the Dead Token's Art and traits, and the Dead Token keeps the Standing Token's old Art and traits, which another Standing Token may then take within the same window;
(d) each Token may take Art through Scavenge once per Day;
(e) it is first come, first served: if someone takes the Art you chose before your request is recorded, your request fails;
(f) a Scavenge is permanent. The Studio will not reverse one on request, including if you chose the wrong Token, but may correct a record that resulted from a technical error, a bug or a breach of these Terms; and
(g) each Scavenge (the Day, the two Tokens, the Art each wore before and the time) is shown publicly, including on both Tokens' pages. The Studio keeps the signing address, the message and the signature as proof that the Holder authorized the Scavenge, and may disclose them for that purpose (Privacy Policy, Section 6.4).
8.3 Discretion. The Studio may refuse any Scavenge request, including when it cannot confirm the facts in time, and may change, pause or end Scavenge at any time. Art received through Scavenge remains subject to Section 7.
9. Display looks
9.1 The looks. The Site and metadata can show a Token's Art as "normal", "mild glitch" or "severe glitch". Currently the mild glitch is the default, and the Holder of a Standing Token may choose any of the three looks at any time by signing a message (no gas).
9.2 A display setting only. The choice is stored by the Studio, stays with the Token when it is transferred, and may be changed by the next Holder. It does not change the Token on the Contract or its status. The Studio may change the looks, the defaults and when each look is shown, or stop honoring choices.
10. Sending and transfers
10.1 Sending. You may send a Token that is not frozen under Section 5.8 to another address, through the Site's dashboard (one standard transfer transaction per Token, signed by your Wallet) or by any other means.
10.2 No undo. The Site can check that an address is correctly formed but cannot know who controls it. You alone are responsible for checking the address. A Token sent to the wrong address, or to one whose keys are lost, is gone, and the Studio cannot recover it.
10.3 What goes with a Token. When a Token is transferred, its paid Days, the Art and traits the Studio serves for it and its display choice go with it.
10.4 Sales. A sale of a Token, on a marketplace or otherwise, is between the buyer, the seller and any marketplace. The Studio is not a party to it.
11. Owner Powers, and what the Studio cannot do
11.1 The Owner Powers. The Studio controls the Owner Key. Since launch, it can do only three things (the "Owner Powers"): (a) withdraw the Daily Fees collected by the Contract to any address; (b) change the metadata base address the Contract points to, which controls where every Token's Art, traits and metadata are found; and (c) hand ownership of the Contract to another address, in two steps (the new address must accept).
11.2 Spent powers. Before launch the Owner Key could also airdrop Tokens, give starting Days, finalize the airdrop and start the game. Those powers are closed forever.
11.3 What the Studio cannot do. Ownership of the Contract cannot be renounced. The Studio has no power to pause the game, burn a Standing Token, change the Daily Fee, the Boundary or the number 444, add or remove any Token's Days, create Tokens, refund payments, revive a Dead Token, or move, freeze or take any Token from its Holder.
11.4 A new owner. If ownership of the Contract passes to another address or party, the Owner Powers pass with it.
11.5 Loss or theft of the Owner Key. If the Owner Key is lost, no one can use the Owner Powers again, including to point the Contract at a new metadata address, for example if the Site's domain lapses. If the Owner Key is stolen or misused, whoever controls it can withdraw the Daily Fees held by the Contract and point every Token's metadata and Art at anything, including offensive or harmful content, which Wallets and marketplaces may then display. Whoever controls the domain maxextractors.io, where the metadata is currently served, can do the same with the metadata and Art. Neither can change the Rules, any Token's Days or who holds a Token.
12. Fees, gas and taxes
12.1 Daily Fees go to the Studio. The Studio may withdraw the Daily Fees from the Contract and use them for any purpose. They are not held in trust, escrow or a pool for players, and fund no prize.
12.2 Gas. Every transaction needs a network fee ("gas") in ETH, paid to the network, not the Studio, and charged even when the transaction fails.
12.3 Other fees. Wallets, marketplaces, bridges and exchanges may charge their own fees.
12.4 Taxes. You alone are responsible for working out, reporting and paying any taxes on your acquisition, payment for, sale, transfer or other use of Tokens or the Art, including income from commercial use of the Art.
13. Not an investment
13.1 Game pieces. Tokens are game pieces and collectibles. They were airdropped free to the holders of a snapshot, with no mint or other sale. The Studio is not offering, and you are not acquiring from it, any investment, security, share, profit right or other financial product. A Token gives you no share of the Studio's income or the Daily Fees, and no voting or governance rights.
13.2 No promises. The Studio makes no promise or prediction that any Token has or will have value; that any market will exist to sell it; that the game will continue for any time; that the Machine Stop will ever happen, or by any date (any projected date on the Site is an estimate that assumes no one else pays, not a promise); that any Token will survive; or that the Studio will build anything more. Statements about future plans are not promises. Do not acquire, hold or pay for a Token expecting a profit, and only spend what you can afford to lose.
13.3 No advice. Nothing the Studio publishes, on the Site, on social media or anywhere else, is financial, investment, legal or tax advice, or a recommendation to buy, sell, hold or pay for any Token.
13.4 The Studio may take part. The Studio and the people behind it may hold, pay for, buy, sell or transfer Tokens under the same Rules as everyone else, without telling you.
14. No affiliation; third-party services
14.1 No affiliation. Max Extractors and the Studio are not affiliated with, endorsed by or sponsored by Robinhood Markets, Inc. or its affiliates, OpenSea, or any Wallet provider. "Robinhood Chain" is named only to identify the network the Contract runs on.
14.2 Third parties. The Tokens depend on services the Studio does not control, including Robinhood Chain and its operators and RPC services, Wallets, block explorers, marketplaces and hosting providers. They have their own terms, and the Studio is not responsible for them or for any loss they cause. The Studio asks OpenSea to refresh Token metadata, but does not control listings, prices, royalties or how OpenSea displays Tokens, and OpenSea may show out-of-date or wrong information.
14.3 Forks and network changes. If Robinhood Chain splits into more than one chain (a "fork"), or is replaced, migrated, materially changed or shut down, the Studio may decide which chain, if any, the Site and the Off-Chain Features support. The Studio has no obligation to support any other chain, to recreate Tokens or paid Days on another network, or to compensate anyone for the effects of a fork or network change.
15. Intellectual property and the Art License
15.1 Ownership. As between you and the Studio, the Studio (or its licensors) owns all rights, including copyright, in the Art, the traits and metadata, the shared "dead" image, the Site and its design, text and code, and the Max Extractors name and logo. Holding a Token transfers none of these to you, and you get no rights beyond those stated in these Terms. No license is granted by implication, estoppel or otherwise.
15.2 Your license while you hold a Token. If you meet Section 4, then for as long as you are the Holder of a Standing Token, and subject to these Terms, the Studio grants you a worldwide, non-exclusive, royalty-free license to use, copy, display, perform, modify, make derivative works from and distribute the Art that Token currently wears, in any medium, for any purpose, including full commercial use such as selling merchandise, prints and other products and services that feature it (the "Art License"). You may sublicense these rights only as needed for others to make or sell your own products (for example, a manufacturer printing your shirts), and never beyond the end of your Art License.
15.3 The license follows the Token and its Art. The Art License covers the Art the Token wears when you use it. If the Token's Art changes, through a Scavenge, an update like the V2 change or otherwise under Section 7, the Art License moves to the new Art and ends for the old. If you transfer the Token, the Art License passes to the new Holder and ends for you. If the Studio stops serving Art, a Token wears the Art the Studio last served for it.
15.4 When the license ends. Your Art License ends automatically when you stop holding the Token, when the Token dies or is burned, if you materially breach this Section 15 or Section 16, or if you stop meeting Section 4 (if you never met it, no Art License was granted to you), and it ends for old Art when the Token's Art changes. You must then stop all use of that Art, including making, selling or distributing new copies or products and selling remaining stock. You need not recall what you sold or gave away before it ended.
15.5 The Studio's own use. The Studio keeps the right to use all Art, including the Art your Token wears, for any purpose, including commercially, and to license it to others, without paying or crediting you. The Art License does not let you stop anyone else using the Art or enforce the Studio's copyright.
15.6 Limits. The Art License does not allow you to:
(a) use the Max Extractors name, logo or other Studio trademark as a trademark, brand, domain or product name, or in any way that suggests the Studio made, sponsored or endorses you or your product (you may say accurately that your product features the Art of the Token you hold, for example "Max Extractor #1234");
(b) use the Art with content that is hateful, harassing, defamatory, obscene or discriminatory, that promotes violence or that infringes anyone's rights, or for any illegal purpose;
(c) use the Art for other tokens or digital assets in a way likely to make people think they are Tokens or come from the Studio;
(d) claim copyright in the Art, or register it or anything confusingly similar as a trademark; or
(e) use the shared "dead" image, or Art worn by a Token you do not hold, except as the law allows without a license.
15.7 What you add. You own the original material you add to the Art in a derivative work, subject to the Studio's rights in the Art.
15.8 The Site. You may view and use the Site for its intended purpose. You may not copy or reuse its code, design or content except as the law allows without a license.
15.9 Feedback. The Studio may use any ideas or suggestions you send it freely, without obligation to you.
15.10 Removal. The Studio may remove, replace or stop serving any Art or content it believes it must, to comply with law or answer a rights claim.
16. Your conduct
You agree not to:
(a) exploit any bug, error or vulnerability in the Site, the Off-Chain Features (including Scavenge and display looks) or the Contract to get a result that the Rules as Section 5 describes them, or the Off-Chain Features as these Terms describe them, would not give you, or to take, impair or interfere with anyone else's Tokens or funds or the Daily Fees;
(b) access or try to access non-public parts of the Site, such as the Studio's own tools, or anyone else's Wallet or data;
(c) scrape, crawl or query the Site or its API in a way that harms or overloads the Services, or get around rate limits or other protections;
(d) interfere with the Site or its servers, or introduce malicious code;
(e) impersonate the Studio, its people or anyone else, or falsely claim a connection with the Studio;
(f) submit a signature you are not authorized to submit, or trick anyone into signing anything;
(g) use the Services for fraud, market manipulation such as wash trading, money laundering, sanctions evasion or any other illegal purpose; or
(h) help anyone else do these things.
Paying the Daily Fee for any Token, transferring a Token you hold, and burning a Dead Token are not breaches of this Section.
17. Copyright complaints and security reports
17.1 Copyright complaints. If you believe material on the Site infringes your copyright, email analongstudios@gmail.com with: (a) your name, address, telephone number and email; (b) the copyrighted work; (c) where the material is on the Site (for example, a Token number or web address); (d) a statement that you believe in good faith the use is not authorized by the owner, its agent or the law; (e) a statement, under penalty of perjury, that your notice is accurate and that you own the copyright or may act for the owner; and (f) your physical or electronic signature. These are the elements the U.S. Digital Millennium Copyright Act asks for.
17.2 Security reports. Report any vulnerability in the Site or the Off-Chain Features privately to analongstudios@gmail.com, and do not exploit or publish it before the Studio has had a reasonable time to respond.
18. Assumption of risk
You understand and accept the risks described on the Risks page (https://maxextractors.io/risks), including losing a Token forever because it was not paid for in time, the Site or the network failing near a Boundary, bugs in the Contract that cannot be fixed, the Art changing or disappearing, the Owner Key or the Site's domain being lost or stolen, Tokens and ETH losing all value, the Machine Stop never happening, lost keys and changes in law. You take part at your own risk, and, to the fullest extent the law allows, the Studio Parties are not responsible for losses these risks cause.
19. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, THE TOKENS, THE CONTRACT AND THE ART ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. THE STUDIO PARTIES DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. IN PARTICULAR, THE STUDIO PARTIES DO NOT WARRANT THAT: (A) THE SERVICES WILL BE AVAILABLE, TIMELY, SECURE OR ERROR-FREE; (B) ANY INFORMATION ON THE SITE, INCLUDING COUNTDOWNS, STATUSES AND RARITY, IS ACCURATE OR CURRENT; (C) THE CONTRACT IS FREE OF BUGS OR VULNERABILITIES OR WILL BEHAVE AS DESCRIBED; (D) THE JANITOR WILL RUN, OR WILL BURN ANY TOKEN AT ANY TIME; (E) THE ART OR METADATA WILL REMAIN AVAILABLE OR UNCHANGED; (F) ROBINHOOD CHAIN, ANY WALLET OR ANY OTHER THIRD-PARTY SERVICE WILL WORK; OR (G) THE OWNER KEY, THE SITE'S DOMAIN OR THE STUDIO'S SERVERS WILL NOT BE LOST, STOLEN, COMPROMISED OR MISUSED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
20. Limitation of liability
20.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE STUDIO PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, CRYPTO ASSETS OR TOKENS (INCLUDING THE DEATH OR BURN OF ANY TOKEN), ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, THE TOKENS, THE CONTRACT OR THE ART, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF TOLD SUCH DAMAGES WERE POSSIBLE.
20.2 TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE STUDIO PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, THE TOKENS, THE CONTRACT OR THE ART WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) AND (B) THE TOTAL DAILY FEES YOU PAID IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, VALUED IN U.S. DOLLARS AT THE TIME OF EACH PAYMENT.
20.3 These limits apply even if a remedy fails of its essential purpose, and are an essential part of the bargain. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that the law does not allow to be limited.
21. Indemnity
To the fullest extent permitted by law, you will defend, indemnify and hold harmless the Studio Parties from all claims, demands and proceedings brought by third parties (anyone other than you and the Studio Parties), and the resulting losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees), to the extent they arise out of: (a) your breach of these Terms or of any law; (b) your products, services or other use of the Art, including claims by your customers; (c) your violation of anyone's rights; or (d) taxes you owe. This Section does not cover any part of a claim that results from a Studio Party's own fraud, gross negligence or willful misconduct. This Section does not apply to Disputes between you and the Studio, which Section 24 governs. The Studio may take exclusive control of the defense of any such matter, and you will cooperate. You may not settle any such matter without the Studio's written consent.
22. Changes to these Terms
22.1 The Studio may change these Terms by posting an updated version on the Site with a new "Last updated" date and version. For a material change, the Studio will also post a notice on the Site for at least 30 days. There are no accounts, so the Studio may have no other way to reach you; please check these Terms from time to time. The Studio keeps a copy of each earlier version and will send it to you on request.
22.2 A change takes effect for you when you agree to it, or 30 days after it is posted if you keep using the Site or the Off-Chain Features after that, whichever comes first; a change needed to comply with the law may take effect when posted. If you do not accept a change, stop using the Services and the Art License.
22.3 A change does not apply to a Dispute about events that happened before the change took effect for you; the version in effect then governs. These Terms cannot change what the Contract does. Changes to Section 24 are also subject to Section 24.12.
23. Suspending or ending access
23.1 The Studio may block, suspend or end your access to the Site or any Off-Chain Feature, including refusing your signatures for Scavenge or display looks, at any time, for any reason (including a breach of these Terms, a legal requirement or sanctions), without notice or liability. The Studio may also stop operating the Site or any Off-Chain Feature at any time.
23.2 The Studio cannot take or freeze your Tokens, or burn a Token that is not Dead (Section 11.3). Ending your access to the Site does not change what you can do on the Contract, and the Rules, including the Daily Fee, still apply.
24. Dispute resolution: arbitration, class-action waiver and jury waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND THE STUDIO TO RESOLVE MOST DISPUTES BY BINDING INDIVIDUAL ARBITRATION AND LIMITS HOW YOU CAN SEEK RELIEF. YOU MAY OPT OUT UNDER SECTION 24.9.
24.1 Disputes. "Dispute" means any dispute, claim or controversy between you and any Studio Party arising out of or relating to these Terms, the Services, the Tokens, the Contract, the Art or your dealings with the Studio, under any legal theory, whether it arose before or after you accepted these Terms. Except as Sections 24.8 and 24.10 say, the arbitrator decides all questions about the scope, validity, enforceability and arbitrability of this Section 24.
24.2 Informal resolution first. Before starting an arbitration or small-claims case, the party with the Dispute must send the other a written notice (a "Dispute Notice"): to the Studio, by email to analongstudios@gmail.com; to you, at an email address you have given the Studio or otherwise by any reasonable means. It must include the sender's name and contact details, the Wallet addresses involved, a description of the Dispute and the relief sought, and, if from you, your personal signature (your lawyer's alone is not enough). Within 30 days after it is received, either party may ask for an individual telephone or video meeting, which you must attend personally (with a lawyer if you wish). If the Dispute is not resolved within 60 days after the Dispute Notice is received, either party may start arbitration. Time limits for bringing the claim are paused during this process. A case started without following this Section 24.2 may be stayed or dismissed until it is followed.
24.3 Binding individual arbitration. Except as Sections 24.5, 24.9 and 24.10 say, you and the Studio will resolve any Dispute only by final and binding arbitration on an individual basis. This agreement is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.).
24.4 How it works.
(a) The American Arbitration Association (the "AAA") will administer the arbitration under its Consumer Arbitration Rules in effect when it starts (available at www.adr.org), as modified by this Section 24. If the AAA cannot or will not act, the parties will agree on another administrator, or a court will appoint one.
(b) There will be one arbitrator. The seat, or legal place, of arbitration is Florida. Hearings will be held by video or telephone, or decided on written submissions, unless the arbitrator decides an in-person hearing is necessary, in which case it will be held in the county where you live or another place the parties agree.
(c) Fees are governed by the AAA's rules, including their limits on what a consumer pays.
(d) The arbitrator may award any individual relief a court could award under applicable law and these Terms (including Section 20), but only for the individual party seeking relief and only as far as that party's individual claim warrants.
(e) Judgment on the award may be entered in any court with jurisdiction. The parties may agree to keep the arbitration confidential, and the arbitrator may make orders to protect confidential information.
24.5 Exceptions. Either party may (a) bring an individual claim in small-claims court, in the county where you live or in Florida, if it qualifies and stays there on an individual basis; and (b) sue in court for an injunction or other equitable relief to stop actual or threatened infringement or misuse of its intellectual property, including copyrights, trademarks and the limits of the Art License.
24.6 CLASS-ACTION WAIVER. YOU AND THE STUDIO MAY BRING DISPUTES AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. UNLESS YOU AND THE STUDIO AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS (EXCEPT FOR ADMINISTRATION IN BATCHES UNDER SECTION 24.8) OR PRESIDE OVER ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.
24.7 JURY WAIVER. YOU AND THE STUDIO EACH WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE. A DISPUTE DECIDED IN COURT FOR ANY REASON WILL BE DECIDED BY A JUDGE ALONE.
24.8 Mass filings. If 25 or more demands for arbitration raising similar claims are filed against the Studio by, or with the help of, the same or coordinated lawyers or organizations: (a) each demand must still meet Section 24.2; (b) the AAA will administer them in batches of up to 50 demands (with any remainder in a final batch), with one arbitrator appointed for each batch, and all batches will proceed at the same time unless the parties agree otherwise; within a batch, each claim will be decided individually, with a separate award for each claimant, and the claims will share only the arbitrator, the schedule and any administrative fees the AAA allows to be shared, with the Studio paying the fees that the AAA's consumer rules require the business to pay; (c) the AAA's rules and fee schedules for multiple or mass filings apply as far as they are consistent with this Section; (d) the parties will cooperate in good faith to carry this out; and (e) time limits for bringing a claim are paused for a demand while it waits for its batch. A court, not an arbitrator, may enforce this Section 24.8 and decide whether it applies.
24.9 Opting out. You may opt out of arbitration by emailing analongstudios@gmail.com, subject "Arbitration Opt-Out", within 30 days after the first day, on or after 6 October 2026, that you connect a Wallet to the Site through its wallet-connect window (or, if you never do, within 30 days after you first accept these Terms in any other way under Section 3.1), giving your name, the Wallet addresses you use with the Tokens and a clear statement that you opt out. You must send it yourself; an opt-out sent for a group is not valid. If you opt out, Disputes will be decided in court under Section 24.11, and Sections 24.6 and 24.7 still apply to the fullest extent the law allows. Opting out does not affect the rest of these Terms. An opt-out stays in effect for all later versions of these Terms.
24.10 Severability of the waiver. If the class-action waiver in Section 24.6 is found unenforceable for any claim or request for relief, that claim or request alone will be severed and decided in court under Section 24.11, after the individual arbitration of all other claims has finished. A court decides whether Section 24.6 is enforceable. In no case will a class or collective arbitration take place. If any other part of this Section 24 is found unenforceable, the rest remains in effect.
24.11 Courts. Any Dispute that is not arbitrated, other than a small-claims case, will be decided only by the state or federal courts located in the State of Florida. You and the Studio consent to their personal jurisdiction and give up any objection that they are an inconvenient forum.
24.12 Changes to this Section. If the Studio changes this Section 24 after you accepted it, you may reject the change by emailing analongstudios@gmail.com within 30 days after it is posted, and the version you last accepted will continue to apply to you. A change never applies to a Dispute about events that happened before the change was posted, or for which a Dispute Notice was sent before then.
25. Governing law
These Terms and any Dispute are governed by the laws of the State of Florida, USA, and applicable U.S. federal law, without regard to conflict-of-laws rules. The Federal Arbitration Act governs Section 24. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer and the law of the place where you live gives you protections that cannot be waived or changed by agreement (for example, in the European Union or the United Kingdom), nothing in these Terms takes those protections away, and each part of these Terms, including this choice of law and Section 24, applies to you only as far as that law allows.
26. General terms
26.1 Entire agreement. These Terms, including the Risks page, are the entire agreement between you and the Studio on their subject, and replace any earlier agreements or statements, including anything said on social media or in chat channels. The Privacy Policy is a notice of the Studio's practices and is not part of this agreement.
26.2 Severability. If any part of these Terms is found invalid or unenforceable, it will be enforced as far as allowed and the rest remains in effect. Section 24.10 governs the class-action waiver.
26.3 No waiver. Not enforcing a right is not a waiver of it.
26.4 Assignment. You may not assign these Terms without the Studio's written consent, except that the Art License passes with a Token under Section 15.3. The Studio may assign these Terms, in whole or part, without your consent, including to a company formed to operate Max Extractors, to whoever next controls the Owner Key, or in a merger or sale.
26.5 Events beyond our control. The Studio is not liable for failures or delays caused by events beyond its reasonable control, including blockchain outages, congestion and reorganizations, attacks, failures of third-party services, changes in law, government action, natural disasters, epidemics and war.
26.6 Survival. Sections 5.4, 5.12, 7, 12, 13, 15.1, 15.4 to 15.10 and 18 to 26, and any other part that by its nature should survive, continue after your use of the Services ends.
26.7 Notices. The Studio may give you notices by posting them on the Site, or by email if you have given it an address. You must give notices to the Studio by email to analongstudios@gmail.com; they take effect when received.
26.8 Relationship. These Terms create no partnership, joint venture, employment, agency or fiduciary relationship.
26.9 Third parties. No one else has rights under these Terms, except that the Studio Parties may rely on Sections 18 to 21 and 24.
26.10 Interpretation. Headings are for convenience. "Including" means "including without limitation". Where the Studio "may" do something, it may decide at its sole discretion.
26.11 Language. If these Terms are translated, the English version controls.
